These Terms of Use (“Terms”) govern your access to and use of Acalit, including the Acalit mobile application, website, and related services.
Acalit is operated by Neurocub LLC (“Neurocub,” “we,” “us,” or “our”).
By creating an account, accessing Acalit, or using the service, you agree to these Terms.
If you do not agree to these Terms, do not use Acalit.
You may use Acalit only in accordance with these Terms and applicable law.
If you use Acalit on behalf of another person or organization, you represent that you have authority to do so and to accept these Terms to the extent applicable.
Additional terms may apply to certain services, subscriptions, third-party services, or application distribution platforms.
Acalit is a software platform designed to support structured activities, planning, progress information, communication, and coordination among individuals, family members, caregivers, and authorized professionals.

Acalit may allow a user to maintain a personal profile and, where authorized, to create or manage profiles for other individuals.
A managed profile is not the property of the caregiver or administrator who created it.
Access to a managed profile is subject to Acalit's permission and relationship rules.
A user who creates or manages a profile for another person represents that they have appropriate authority to do so.
You may not create, manage, access, or modify another person's profile without appropriate authorization.
Caregiver and family features are designed to help authorized people support another user's use of Acalit.
Depending on permissions, a caregiver may be able to:
Access rights may differ between caregiver roles.
Being connected to a profile does not automatically grant unrestricted access.
You are responsible for using caregiver access only for legitimate and authorized purposes.
Acalit may provide accounts and workspace features for professionals.
Professional access to a patient or other individual is controlled through applicable invitations, relationships, permissions, and service entitlements.
A professional account does not automatically have access to every user or profile.
Professional users must:
Acalit may restrict, suspend, or revoke professional access when authorization or applicable service eligibility is no longer present.
Acalit does not independently verify or guarantee the qualifications, licenses, credentials, or professional status of every person who may appear or interact through the service unless a feature expressly states otherwise.
Acalit may provide structured activities, Daily Plans, Weekly Plans, scheduling tools, progress information, and reports.
These features are intended to support structured engagement and coordination.
Activity results, progress indicators, scores, summaries, reports, or recommendations generated through Acalit should be understood in context and should not be treated as a guaranteed measurement of medical status or outcome.
You should not rely on any single activity result, score, report, or automated output as the sole basis for an important medical or safety decision.
Acalit is not an emergency service.
Do not use Acalit to request or obtain emergency assistance.
If you believe someone is experiencing a medical emergency, contact the appropriate emergency services in your location.
Acalit does not replace:
Information, activities, reports, plans, communications, and software-generated outputs made available through Acalit are not guarantees of diagnosis, treatment, recovery, or health outcome.
Professional users remain responsible for their own professional judgment and obligations.
Acalit may provide Care Circle, support, and other communication features.
You are responsible for the content you submit through these features.
You agree not to use Acalit communications to:
Acalit communications are not intended as a substitute for emergency communication systems.
Certain Acalit features may require payment or a subscription.
Prices, billing periods, included features, renewal terms, and cancellation options will be presented where applicable.
Payment processing may be provided by Stripe, Apple, or another authorized payment provider depending on the platform and transaction.
You agree to provide accurate billing information to the applicable payment processor.
Subscription access may depend on successful payment and continued eligibility for the relevant service.
If a subscription is purchased through a third-party platform such as Apple's App Store, that platform's applicable billing, cancellation, refund, and subscription rules may also apply.
Unless otherwise required by law or platform rules, fees already paid are not automatically refundable solely because you discontinue use before the end of a billing period.
You agree not to misuse Acalit.

We may investigate suspected misuse and take appropriate action.
Acalit, including its software, interface, design, branding, graphics, content, activities, documentation, and related materials, is owned by or licensed to Neurocub LLC except where otherwise indicated.
These Terms do not transfer ownership of Acalit intellectual property to you.
Subject to these Terms, Neurocub LLC grants you a limited, personal, non-exclusive, non-transferable, revocable right to use Acalit for its intended purpose.
You may not copy, distribute, sell, license, reproduce, or create derivative works from protected Acalit materials except as permitted by law or with written authorization.
You retain rights you may have in content you submit to Acalit.
You grant Neurocub LLC the rights reasonably necessary to host, process, transmit, display, and otherwise use that content solely as needed to operate, secure, support, and improve the service and to provide features you request.
You represent that you have the right to provide content you submit through Acalit.
Acalit may interact with third-party services, infrastructure, payment providers, operating systems, application stores, or communication services.
Examples may include:
Third-party services are governed by their own terms and privacy practices.
Neurocub LLC is not responsible for the independent operation of third-party services outside our control.
Temporary interruption or failure of a third-party service may affect parts of Acalit.
We may modify, improve, add, remove, suspend, or discontinue features of Acalit.
We do not guarantee that:
We may perform maintenance or updates that temporarily affect service availability.
We may restrict, suspend, or terminate access when reasonably necessary, including when:

NEUROCUB LLC DOES NOT GUARANTEE THAT THE SERVICE WILL:
ACALIT ACTIVITIES, PLANS, REPORTS, PROGRESS INDICATORS, COMMUNICATION FEATURES, AND SOFTWARE-GENERATED OUTPUTS ARE PROVIDED AS SUPPORTIVE SOFTWARE FEATURES AND ARE NOT A GUARANTEE OF MEDICAL ACCURACY OR OUTCOME.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEUROCUB LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO USE OF OR INABILITY TO USE ACALIT.

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Any dispute that is not subject to a different legally required forum will be brought before a court of competent jurisdiction in Florida, United States.
Nothing in this section removes rights that cannot legally be waived under applicable consumer protection law.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
An unenforceable provision will be interpreted or limited as necessary to make it enforceable while preserving its intended purpose as closely as reasonably possible.
These Terms, together with the Privacy Policy and any additional terms expressly applicable to a particular service, constitute the agreement between you and Neurocub LLC concerning your use of Acalit.
Failure to enforce a provision of these Terms does not waive our right to enforce it later.
